Terms and Conditions of Use

These Terms and Conditions of Use (“Terms of Use”) are a legal agreement between you and What’s Crackin’, LLC, an Arizona limited liability company d/b/a Strap Photo Club, and its affiliated and subsidiary companies (“Company” or “us”), the developer of this website (strapphotoclub.com, referred to as “Website”).

By using this Website or purchasing any products or services from us, you agree to these Terms of Use, our Privacy Policy, and any other policies or agreements disclosed by the Company.

These Terms of Use were last updated on June 23, 2025, and may be revised from time to time. Continued use of the Website constitutes acceptance of the most recent version.

1. Responsibility for Website Use

You are solely responsible for your actions and decisions when using the Website, including any interactions with others or use of products or services.

2. Ownership

All proprietary rights in the Website, trademarks, copyrights, and any products or services offered belong to the Company. You may not reproduce, distribute, or transmit any content unless it's in the public domain or explicitly permitted.

3. Online Orders

Our products include use of a disposable camera and return for image processing (“Photo Processing Service”). The camera is not returned after image processing. Orders may be accepted or rejected at our discretion. You may cancel an order before receiving a confirmation email.

4. Payment Terms

Prices are listed with each product or service. Sales tax is included in the price. Payments must be made by valid credit/debit card or approved digital payment method. You confirm that you are authorized to make the purchase.

5. Shipping

We will ship your order to the address you provide. Shipping (including return shipping of the camera) is included in the price. You bear all risk of loss or damage during transit. We are not liable for delays or photo delivery errors.

6. No Returns; Expiration

Photo Processing Services are non-refundable. Cameras expire as noted; if no date is shown, they expire 14 months from your order date. No photos will be developed after the expiration date.

7. Permitted Use

Cameras are only for use with our Photo Processing Services. You may not develop the film elsewhere.

8. Discontinuation of Services

We may stop offering any product or service at any time, without notice. You are not entitled to a refund if services are discontinued.

9. Privacy Policy

Use of our Website and services is governed by our Privacy Policy, which covers how we collect, use, and store personal data, including photos.

10. Warranties, Disclaimers, Liability, Indemnity

10.1 Your Representations
You confirm that:

  • You have the legal right to enter into this agreement.

  • You will not violate any laws using our products/services.

  • You are using our services for personal use only.

  • You are at least 18 years old.

10.2 Disclaimer
All products/services are provided "as is" without warranties of any kind.

10.3 Limitation of Liability
To the maximum extent permitted by law:

  • We are not liable for any indirect or consequential damages.

  • Our maximum liability is limited to the amount you paid or $100, whichever is less.

  • You agree to indemnify and hold us harmless from claims, costs, or losses related to your use of the Website or breach of these Terms.

11. Third-Party Beneficiaries

These Terms are between you and the Company only; no other party is entitled to benefits or rights under them.

12. Force Majeure

We are not liable for delays caused by events outside our control (e.g., weather, war, strikes, third-party failures, etc.).

13. Assignment

We may assign our rights and obligations. You may not assign yours without written consent.

14. Partial Invalidity

If any part of these Terms is invalid or unenforceable, the rest remains in effect.

15. Governing Law

These Terms are governed by the laws of Arizona, USA, without regard to conflict-of-law principles.

16. Dispute Resolution: Mediation & Arbitration

All disputes will be resolved through AAA arbitration with a three-arbitrator panel. Mediation is required before arbitration. Arbitration must take place within 120 days of initiating a dispute. Each party pays its own costs unless otherwise awarded.

17. Attorney’s Fees

The prevailing party in any dispute is entitled to recover reasonable legal fees and costs from the non-prevailing party.

19. Compliance

If any part of these Terms conflicts with your local laws, only the lawful parts will apply. If you’re outside the U.S., you confirm you are not on a restricted or embargoed list and comply with U.S. laws.

20. Severability

If any provision is found invalid or unenforceable, the remainder will remain effective.

21. Entire Agreement

These Terms, the Privacy Policy, promotional terms, and any product-specific instructions form the entire agreement between you and the Company.
